An annual report filing service should first confirm whether your entity owes a report, a statement, a tax, or some combination. Fidelic prepares the filing facts from the current company record, marks every fact that needs approval, and keeps the accepted filing with the next due date.

## What is at stake

There is no single national annual report. The filing name, due date, fee, required facts, and consequence of missing it depend on the state and entity type. A reminder from a private filing company is not the accountable source.

## What a useful result looks like

A useful result is a filing packet tied to the state record: applicability, current entity facts, discrepancies, approval points, filing receipt, status check, and next date. If the record raises a legal or tax question, the work pauses for the proper adviser.

## First, decide whether this is filing work or advice.

Use a filing workflow when the entity already exists, the obligation can be confirmed from an official state source, and the required facts can be verified from the company record. Move to an attorney or accountant when the question is what the business should be, how it should be taxed, or how to repair a disputed or inaccurate record.

### This page fits when

- A routine annual report, biennial statement, or closely related state filing is due.
- The company needs to reconcile its internal facts with the public entity record.
- The owner wants a filing receipt and the next date kept with the source record.

### Bring in qualified help now when

- The entity type, ownership, authority, or tax treatment is uncertain.
- The company is suspended, forfeited, in a dispute, or facing a state enforcement matter.
- A professional must interpret the law or certify a conclusion rather than report a fact.

## Choose who should own the record around the filing.

The state portal is often the shortest route for one clean filing. A filing provider is useful when you want a person or service to handle a defined submission. VELA is the better fit when the annual report belongs to a continuing multi-state company record.

### File it yourself

- **Best when:** One entity, one state, clean facts, and a routine filing.
- **You get:** A submitted state form and receipt.
- **Watch:** You must identify the correct obligation, reconcile every fact, and remember the next date.
- [Start with the SBA filing overview](https://www.sba.gov/business-guide/manage-your-business/stay-legally-compliant)

### Use a filing provider or adviser

- **Best when:** The filing is defined, but you want human checking or submission help.
- **You get:** A prepared or submitted filing within an agreed scope.
- **Watch:** Ask who verifies the facts, who signs, what happens after rejection, and whether the next date is retained.

### Hire VELA

- **Best when:** The filing is one part of an entity record that changes across states and years.
- **You get:** The filing packet, evidence, approvals, receipt, status, and next date stay together.
- **Watch:** VELA prepares and maintains the record; legal and tax judgments still leave the workflow.

## Use the official state source before you touch the form.

Begin with the [SBA overview of ongoing state filings](https://www.sba.gov/business-guide/manage-your-business/stay-legally-compliant), then move to the secretary-of-state or revenue site for every state where the entity is formed or registered. The SBA notes that most states require an annual report or biennial statement, but the deadline and fee vary. It also notes that statement filing fees can exceed $300.

Do not infer the rule from another entity. California, for example, generally requires stock corporations to file a Statement of Information yearly and LLCs every two years. Its [Secretary of State FAQ](https://www.sos.ca.gov/business-programs/business-entities/faqs) also says the entity remains responsible when a reminder does not arrive. Delaware uses a different calendar and separates corporations from LLCs.

Before submission, compare the form with the approved company record. A changed address, registered agent, officer, director, manager, or share fact may create another filing or an adviser question. Save the submitted copy, payment receipt, acceptance result, and next date. A calendar entry without the source and receipt is only a reminder, not a compliance record.

### Keep these four things in the record

- Entity type, formation state, and every foreign registration state
- Exact filing name, official source, due date, fee, and signing authority
- Current address, registered agent, officers, directors, managers, and other requested facts
- Submitted copy, payment receipt, acceptance result, and next date

## Buy a defined filing service, not a vague promise of compliance.

A filing provider can be useful when the obligation is routine but the owner does not want to carry the submission. Ask for the jurisdiction, filing name, included fact check, government fee, service fee, signing step, rejection handling, receipt, and renewal record in writing. A registered-agent relationship does not automatically mean every annual filing is included.

Bring in an attorney or accountant when the work turns from reporting facts to choosing a legal or tax position. The provider should be able to name that boundary before taking the job. A polished form is not an answer to an ownership, authority, nexus, good-standing, or franchise-tax question.

## Hire VELA when the filing belongs to a living company record.

VELA is the [Fidelic entity and compliance manager](https://fidelic.ai/agents/vela). VELA maintains the company facts, state registrations, filing calendar, source links, approvals, receipts, and later changes as one operating record. The annual report is handled as a dated obligation, not an isolated form.

For a Delaware domestic corporation, the [Division of Corporations](https://corp.delaware.gov/paytaxes/) says the report and franchise tax are generally due March 1; late filing carries a $200 penalty plus 1.5 percent monthly interest on tax and penalty. VELA keeps the exact entity facts and due date visible, but an authorized person still approves the filing and any certification.

Use this route when you want the record to survive the filing: the accepted report, the public-status check, the next deadline, and the next business change remain visible in Slack. ## The work product

- Entity-by-state filing calendar
- Official-source applicability check
- Current company-fact sheet
- Discrepancy and approval list
- Filing packet and receipt index
- Next-date Slack update

## The work sequence

1. **Identify the exact obligation:** Match the entity type and state registration to the current secretary-of-state or revenue source. Separate reports, statements, franchise taxes, licenses, and amendments.
2. **Reconcile the company facts:** Compare the state record with the approved internal record for addresses, registered agent, officers, directors, managers, shares, and other required facts.
3. **Prepare for accountable approval:** Show the proposed filing, fee, due date, differences, and each certification that an authorized person must make.
4. **Keep proof and the next date:** Retain the submitted copy, payment receipt, acceptance or status result, and the next known filing date in the same record.
