Website workshop service agreement Version 2026-10-28-v1 1. Parties and acceptance This agreement is between Memetica Corporation, a New York corporation, and the person or business booking the workshop. Memetica Corporation offers the workshop under its FidelicAI brand. FidelicAI and the fidelic.ai name and wordmark are brands and trademarks of Memetica Corporation. In this agreement, “we” means Memetica Corporation and “you” means the customer. If you book for a business, you confirm that you have authority to bind it. By checking the agreement box and continuing to Stripe card setup, you electronically accept this agreement, the agreed session scope, and the card, cancellation and rescheduling terms. Your accepted version and acceptance time are recorded. You can save or print this agreement. 2. The workshop and its scope The fee is $199 USD for one private, two-hour working session for one business. The session is by video or at your agreed office address in Manhattan or Brooklyn. We check website fit and agree the session scope before booking. The workshop helps move or improve a straightforward business website using your own coding agent, GitHub and hosting accounts, supported by the FidelicAI cookbooks. A complete migration, live launch, specific framework, search ranking, AI recommendation, revenue result or amount of finished work is not promised within two hours. Unfinished work and next steps are recorded. Stores, customer accounts, custom databases and complex integrations require separate scoping. AI access, hosting, domains, paid services and other third-party charges are your responsibility and are separate from the workshop fee. Additional sessions or services require a separate agreement. No ongoing management or future paid cookbook subscription is included. 3. Your accounts, content and approvals You confirm that you own or are authorized to use the site, content, images and accounts supplied for the work. You provide working access and accurate business facts. Keep passwords, authentication codes, customer records and other sensitive material out of public forms. You retain control of your accounts. You are responsible for keeping a recoverable copy of the existing website and checking the proposed preview, content, links and customer functions. We identify the release checks and recovery route within the agreed scope. A production change, domain change, new spending or broader account permission requires your approval. Do not approve a release until you are prepared to accept it. 4. Card authorization and payment Stripe securely stores your card after you expressly consent. We normally authorize the full $199 about 48 hours before the session and capture the $199 workshop fee after the session is delivered. An authorization temporarily reserves funds; it is not a completed charge. Card-network limits and issuer approval apply. If authorization needs action, the booking may need attention before the session. You authorize the $199 workshop charge and any applicable $49 cancellation, late-rescheduling or no-show fee described in this agreement. An applicable fee may be captured from an existing authorization or charged to the saved card. The unused portion of an authorization is released. Your bank controls when a released hold disappears. We do not collect both the full workshop fee and a cancellation fee for the same canceled session. 5. Cancellation, rescheduling and no-shows A customer cancellation costs $49. One reschedule is free when requested at least 24 hours before the session starts. A later reschedule, a further reschedule after the free change has been used, or a no-show costs $49. A replacement workshop still carries its own $199 session fee. Cancellation, late-rescheduling and no-show fees are nonrefundable, except where a refund is required by applicable law. You expressly agree to these fees before card setup. Abandoning an unfinished card-setup hold before a booking is confirmed has no cancellation fee. If we cancel the session, no cancellation fee applies and we release its authorization or refund any workshop fee already collected. 6. Seven-day, no-questions workshop refund If you are not satisfied with a delivered workshop, request a refund within seven days (168 hours) after the workshop ends. We refund the $199 workshop fee without asking you to justify the request. Use your private booking page or email hello@fidelic.ai. A timely request remains eligible while it is being processed. The refund returns the workshop fee to the original payment method. If the fee has not been captured, we release its authorization instead. Bank processing times vary. This promise does not refund third-party subscriptions, hosting, domain charges or nonrefundable cancellation, late-rescheduling and no-show fees. It does not reduce any right that applicable law gives you. 7. No warranty or promised business result Except for the agreed session and the express refund promise, the services and guidance are provided “as is” and “as available,” to the extent permitted by law. We disclaim other express or implied warranties, including merchantability, fitness for a particular purpose and noninfringement, to the extent those warranties may lawfully be disclaimed. AI-generated work can contain errors. Search engines, AI services, registrars, hosting providers and other third parties control their own services and policies. We do not warrant uninterrupted operation, error-free code, preservation of search traffic, security certification, legal compliance, accessibility certification, rankings, AI citations or customer enquiries. You review the work and decide whether to use or publish it. 8. Limits of liability To the fullest extent permitted by law, Memetica Corporation and its personnel are not liable for indirect, incidental, special, consequential, exemplary or punitive losses arising from the workshop or guidance, including lost profit, lost revenue, business interruption, lost data or loss of search visibility, even if the possibility was disclosed. To the fullest extent permitted by law, our total aggregate liability for claims arising from this workshop, including claims based on ordinary negligence, is limited to the workshop fee you paid, up to $199. The allocation of risk reflects the limited price and scope of the session. These exclusions and limits do not restrict the express seven-day refund promise, liability for fraud, intentional misconduct or gross negligence where it cannot lawfully be limited, or any other liability or customer right that applicable law does not permit us to exclude or limit. 9. Files, cookbooks and third-party rights Your existing site, content and accounts remain yours. Changes and work product saved in your own systems remain there after the workshop, cancellation or a workshop refund. To the extent we hold rights in newly created website code or content delivered to you, we grant you a perpetual, worldwide, nonexclusive, royalty-free right to use, copy, modify and publish it for your business, including after a workshop refund. Third-party materials remain subject to their own rights and licenses. Memetica Corporation retains its cookbooks, recipes, teaching materials, methods, trademarks and other preexisting intellectual property. The workshop does not transfer those materials or grant permission to redistribute them. Your use of a cookbook and third-party software remains subject to the relevant access and license terms. 10. Privacy, governing law and the agreement record We use your booking and acceptance details to arrange the workshop, administer payment and refunds, and retain the agreement record, as described in the FidelicAI privacy policy. Calendar invitations are not sent. You can add a FidelicAI-branded session to your own calendar; the workshop host keeps a separate private reservation record. New York law governs this agreement, except for mandatory rights that another applicable law preserves. If a provision is unenforceable, the remaining provisions continue to apply to the extent permitted by law. No amendment changes an already accepted version without your agreement. The agreed session scope and this agreement govern the workshop; they do not replace unrelated third-party terms or a separate legacy service agreement. Questions, cancellation requests and timely workshop-refund requests can be sent to hello@fidelic.ai. The contracting party is Memetica Corporation; the customer-facing service brand is FidelicAI.
